01
Scope of these Terms
These Terms of Use are a binding agreement between you and Origoo Lab ("Origoo," "we," "us," or "our"). They govern your access to and use of origoo.org, the Origoo interface, and every related feature, API, and service we make available (together, the "Platform"), across every chain the Platform supports.
By visiting the Platform, connecting a wallet, or submitting a transaction through the interface — on any supported chain — you confirm that you have read, understood, and accepted these Terms and our Privacy Policy. If you do not agree to them, do not access or use the Platform.
02
What Origoo Lab operates
Origoo Lab builds and operates a multi-chain software interface for creating and trading tokens on public blockchain networks. A creator chooses a pair asset — a native asset, a stablecoin, another ERC-20, or, on supported networks, a tokenized real-world asset — and one of two market structures: a bonding curve, or a Direct Launch that opens a liquidity pool immediately with no curve or graduation step.
Origoo Lab does not operate the blockchain networks the Platform connects to, does not run an automated deployer, bot, or social-media integration that creates tokens on a user's behalf, and does not act as a broker, exchange, or custodian for anything you do through those networks. Questions about these Terms can be sent to Origoo Lab at contact@origoo.org.
03
Eligibility and restricted jurisdictions
You must be at least 18 years old, or the age of legal majority where you live if that is older, and you must have the legal capacity to enter into these Terms. If you use Origoo on behalf of a company or other organization, you confirm that you are authorized to bind that organization to these Terms.
You represent and warrant that your use of the Platform is lawful where you are located, that you are not relying on Origoo for brokerage, advisory, or any other regulated financial service, and that you will comply with the laws that apply to you, including sanctions, anti-money-laundering, and securities laws.
The Platform is not offered to anyone who resides in, is located in, or is organized under the laws of a country or region subject to comprehensive sanctions administered by the United Nations, the U.S. Treasury's Office of Foreign Assets Control, the European Union, or the United Kingdom, and is not offered to anyone appearing on a sanctions or restricted-party list maintained by those bodies. Origoo may update this restriction at any time to reflect changes in applicable law.
Origoo may limit, suspend, or end access to the Platform where doing so is reasonably necessary for legal, security, or risk-management reasons, including where we believe a user is connecting from a restricted jurisdiction.
04
A noncustodial interface, on every chain we support
Origoo never takes custody of your assets or private keys, never controls your wallet, and cannot execute, cancel, or reverse a transaction on your behalf, regardless of which supported chain you're using. Every transaction you make through the Platform is initiated and signed from your own wallet, and whether it succeeds is determined by the underlying blockchain network and smart contracts, not by Origoo.
Origoo is not a bank, broker-dealer, exchange, custodian, money transmitter, or investment adviser, and nothing on the Platform is financial, legal, tax, or investment advice.
05
Wallets and account security
Origoo will never ask you for your private key or seed phrase, and cannot recover a wallet, reverse a transaction, or cancel a token approval on your behalf.
- Keep your wallet, private keys, seed phrase, and devices secure, and only connect wallets and devices you trust.
- Check the transaction details shown in your wallet — recipient, token, amount, network, and fee — before you sign.
- You are responsible for activity carried out through your wallet, including transactions signed as a result of a compromised device or leaked credentials.
06
Launch structure and fee splits
A token launched through the Platform uses one of two structures the creator selects: a bonding curve, which prices trades from its own virtual reserves until it reaches a graduation threshold and migrates into a liquidity pool, or a Direct Launch, which opens a liquidity pool immediately with no curve or graduation step. Origoo does not select or recommend a structure for any particular token.
Trading fees are split between a token's creator and the protocol at a rate fixed on the factory contract at the moment that token launches. Origoo does not represent that every token carries the same split, that a creator receives all trading fees, or that a later change to Origoo's default rate will apply to a token that already launched. The rate that applies to any given token is the one recorded on-chain for that token, which you can read directly from the contract.
Graduation, pool creation, and fee sweeps are permissionless functions that any wallet can call once the relevant on-chain condition is met — not exclusively the token's creator or Origoo.
07
Transaction execution
Prices, balances, fee estimates, and simulated outcomes shown on the Platform are estimates and can differ from what actually settles on-chain, especially in fast-moving markets. Blockchain transactions can be irreversible, can fail, can sit pending, or can execute at a different price than expected because of network congestion, liquidity, or contract behavior beyond our control.
Origoo does not guarantee that any transaction you submit through the interface will be included in a block, confirmed, or completed within any particular time.
08
Token launches and submitted content
You are solely responsible for any token you create or promote through the Platform, and for the name, symbol, image, description, links, and any other metadata you attach to it. Creating a token on Origoo is not a review, sponsorship, or endorsement by Origoo of that token or its creator.
You confirm that you hold the rights needed to submit the content you provide and that it is accurate and not misleading. Origoo may hide or remove off-chain content — anything that is not itself recorded on the blockchain — from surfaces we control if we reasonably believe it violates these Terms or creates legal or security risk, but we are not obligated to monitor content and cannot remove anything already written to a public blockchain or to independent decentralized storage.
Origoo may surface or rank tokens on the interface using neutral, activity-based signals such as trading volume or recency. Appearing in these listings is not an endorsement of a token's value, safety, or legitimacy.
09
Trading and liquidity risk
Tokens available through the Platform can be volatile, thinly traded, or worthless, and anyone can create a token with a name or symbol similar to an existing one — always verify the contract address before you interact with it. Bonding-curve markets and liquidity positions carry additional risk, including impermanent loss, partial fills, and the possibility that a position cannot be exited at a favorable price or at all.
Origoo does not guarantee liquidity, a particular price, that a bonding-curve market will graduate into a liquidity pool, or that any counterparty will be available to trade against.
10
Risk disclosures
You are responsible for your own research and for deciding whether to use the Platform. Only commit funds you can afford to lose.
- You may lose some or all of the assets you use through Origoo.
- Smart contracts, including ones Origoo did not write, may contain bugs or behave unexpectedly.
- Wallets, RPC providers, indexers, bridges, and other infrastructure the Platform depends on can fail or go offline.
- Displayed market data can be delayed, incomplete, or manipulated by third parties.
- Your use of a token may carry legal, tax, or regulatory consequences in your jurisdiction.
- Network upgrades, forks, or congestion can affect pending or recent transactions.
- Where a launch pairs against a tokenized real-world asset, that asset carries its own issuer, custody, and redemption risk separate from anything Origoo controls.
Origoo takes no position on whether any token available through the interface is a security or other regulated instrument under any jurisdiction's law. Nothing on the Platform is an offer or solicitation to buy or sell any token, and nothing said by Origoo, its team, or a token's creator is a promise or prediction of profit.
11
Network fees and taxes
Protocol fee allocation and wallet routing are deterministic on-chain. Subsequent conversion, cross-chain consolidation and Flywheel funding are manually operated by Origoo. The 30% protocol share allocates 10% to Treasury and 20% toward the later Flywheel. Each authorized ETH batch splits 50% buyback, 30% LP rewards and 20% lock rewards. Funding timing and amounts are operational decisions; one-time launch fees go entirely to Treasury.
Using the Platform can involve network gas fees, protocol fees, price impact, slippage, or other third-party charges, and the amount you actually pay can differ from an on-screen estimate. You are solely responsible for determining and paying any taxes that apply to your use of the Platform.
12
Acceptable use
Origoo may investigate suspected misuse and, where appropriate, cooperate with law enforcement.
- Don't use the Platform in a way that breaks the law, infringes someone's rights, or violates sanctions.
- Don't publish token metadata, links, or messages that are fraudulent, deceptive, or designed to mislead.
- Don't attempt to bypass access controls, introduce malware, scrape the Platform abusively, or otherwise interfere with its operation.
- Don't use the Platform to manipulate a market, launder funds, or facilitate any other unlawful activity.
- Don't use the Platform, or launch a token through it, as a vehicle for a capital raise, pooled investment, or any arrangement meant to represent an ownership or debt interest in a business.
13
Transaction and activity limits
Origoo may place limits on transaction size, frequency, or other wallet activity at its discretion, for reasons that include risk management, security, and compliance with applicable law.
14
Material interests and conflicts
Origoo Lab and its affiliates may, from time to time, hold, trade, or feature tokens that are also available on the Platform. You agree that Origoo may do this, and that nothing in these Terms creates a fiduciary or advisory relationship between you and Origoo. Origoo is not required to disclose its own positions or trading activity, and may decline to act where a conflict cannot reasonably be managed.
15
Third-party services
The Platform connects to independent wallets, blockchain networks, smart contracts, RPC providers, indexers, and other outside services that Origoo does not control. Linking to or integrating with a third-party service is not an endorsement of it, and your use of that service is governed by its own terms.
16
Intellectual property
The Origoo interface, brand, and original documentation are protected by intellectual property law. These Terms give you a limited, revocable, non-exclusive license to use the interface for its intended purpose — they do not give you any right to copy, resell, or build a derivative product from Origoo's own materials, except where we publish something under separate open-source terms.
If you believe something on the Platform infringes your copyright, send a notice to contact@origoo.org identifying the work, the allegedly infringing material and where it appears, your contact details, a good-faith statement that the use is unauthorized, and a statement made under penalty of perjury that you are authorized to act for the rights holder. We will respond in line with applicable law.
17
Feedback you send us
You keep whatever rights you already hold in content you submit to the Platform, and you grant Origoo a worldwide, royalty-free license to host, display, and moderate it as needed to operate the relevant feature — a license that continues for content that ends up recorded on a public blockchain or in decentralized storage, since we cannot remove it from there.
If you send us feedback or suggestions, you agree that Origoo can use them freely, without any obligation to you. Please don't include confidential information in feedback.
18
Service availability
Origoo may add, change, suspend, or discontinue any part of the Platform — including support for a particular chain — at any time, and doesn't promise uninterrupted availability, compatibility with any particular wallet or network, or advance notice of changes. Because the underlying networks and contracts are public, you generally remain able to interact with them directly, without going through the Origoo interface.
19
No warranties
To the fullest extent the law allows, the Platform is provided "as is," without any warranty of merchantability, fitness for a particular purpose, accuracy, or uninterrupted operation. Origoo does not warrant that any token, piece of content, or third-party service accessible through the Platform is safe, accurate, or free of defects.
20
Limitation of liability
To the fullest extent the law allows, Origoo Lab and its officers, employees, and service providers will not be liable for indirect, incidental, or consequential damages, including lost profits or lost assets, arising from your use of the Platform, a smart contract defect, a compromised wallet, or the conduct of another user.
To the fullest extent the law allows, Origoo's total liability for any claim relating to the Platform is limited to the greater of the fees you paid directly to Origoo in the twelve months before the claim arose, or one hundred U.S. dollars. Some jurisdictions don't allow these limitations, in which case they apply only to the extent the law permits.
21
Indemnification
To the fullest extent the law allows, you agree to defend and hold Origoo Lab and its officers, employees, and service providers harmless from any claim arising out of your use of the Platform, content you submitted, or your violation of these Terms or of the law. You release Origoo from any claim connected to a dispute you have with another user or a third party, including a dispute about a token or a transaction.
22
Termination and restriction of access
Origoo may suspend or end your access to the Platform at any time, with or without notice, including where we reasonably suspect fraud, market manipulation, a sanctions issue, or another violation of these Terms. The sections of these Terms that by their nature should continue to apply — including eligibility, risk disclosures, fees, acceptable use, intellectual property, warranties, liability, indemnification, and dispute resolution — survive any termination.
23
Governing law and dispute resolution
Before filing a formal claim relating to the Platform, please contact us at contact@origoo.org with a description of the dispute so we can try to resolve it informally.
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute that isn't resolved informally within 60 days will be settled by binding, individual arbitration administered by the American Arbitration Association, seated in Delaware or conducted by video conference at either party's election, rather than in court, except where a party brings a qualifying small-claims action.
Claims must be brought individually — neither you nor Origoo may bring a claim as part of a class, collective, or representative action, and an arbitrator may not combine more than one person's claims into a single proceeding. You may opt out of this arbitration agreement by emailing contact@origoo.org within 30 days of first accepting these Terms, with your name, wallet address, and a clear statement that you wish to opt out.
24
General terms
If any part of these Terms turns out to be unenforceable, the rest continues to apply. Failing to enforce a provision on one occasion is not a waiver of it later. You may not transfer your rights under these Terms without our consent; Origoo may assign these Terms freely. Together with our Privacy Policy, these Terms make up the whole agreement between you and Origoo about the Platform, except where a specific feature has its own additional terms.
25
Changes to these Terms
Origoo may update these Terms as the Platform, its risks, or applicable law changes. The date at the top of this page reflects the version currently in effect, and we'll try to flag material changes through the interface. Continuing to use the Platform after an update takes effect means you accept the revised Terms.
